Terms
These terms apply to every series offered on this website by Venaro UG (haftungsbeschränkt), Am Holzweg 7, 99428 Grammetal, Germany (the seller).
Who we sell to
Our offers are directed exclusively at businesses: publishers, independent authors acting commercially and other entrepreneurs within the meaning of section 14 of the German Civil Code (BGB). This includes individuals and sole proprietors who buy a series in order to publish it commercially, including those just starting out. We do not sell to consumers.
How a sale works
Series can be bought directly from the seller or through online marketplaces such as Flippa. Before every sale, whether direct or through a marketplace, the seller asks for the buyer's company name, business address and VAT ID or, if the buyer has none, another proof of business activity such as a business registration, a US EIN, a publishing account or a business website, and the buyer confirms in writing that it is buying in the course of its business. The seller does not complete a sale without this information. Before the order, the seller sends the buyer a link to these terms. The contract is concluded when the seller confirms the order in writing (email is sufficient); by placing the order the buyer accepts these terms. The price and payment method are stated in the confirmation, and the files are delivered after payment has been received in full. For a purchase through a marketplace, the seller requests this information through the marketplace's messaging, and the marketplace's rules on listing, payment and escrow apply in addition to these terms. The sections 'What the buyer receives', 'Titles', 'Pen names', 'How the books were made', 'Condition of the texts' and 'Liability' apply in any case, unless the seller has expressly agreed otherwise in a contract signed for that sale.
Commissioned series
The seller also writes series to order. Genre, scope, deliverables, price and delivery date are agreed individually in writing before work starts. Unless agreed otherwise, the buyer receives the same rights in a commissioned series as described below, once the agreed price has been paid in full.
What the buyer receives
With full payment the buyer receives the files listed on the series page or in the marketplace listing at the time of the order and all rights the seller holds in the texts, granted exclusively, worldwide and without time limit: to use, edit, publish, translate and sell them in all formats and to sublicense or transfer these rights in whole or in part to third parties without further consent. Every person involved in creating the texts has agreed not to be named and agrees that the buyer may publish the texts under any name. Under German law the copyright itself cannot be transferred; where it exists, the buyer receives exclusive, unlimited rights of use (section 31 UrhG). The seller transfers only rights it actually holds. Because the texts were generated by AI, they are most likely not protected by copyright, in Germany as in the United States and most other countries. The buyer therefore receives the files and the seller's contractual promise of exclusivity, but no copyright that could be enforced against third parties who copy the texts. Exclusivity is guaranteed by contract: after a sale the seller will not offer, sell, license or publish the same series again.
Titles
Titles and series names are offered as working titles. The seller has not carried out a trademark or title search and gives no assurance that they are free of rights of third parties.
Pen names
The pen names shown on this website, in the files and on the covers are placeholders. The buyer may publish under them or under a name of their own. A pen name is not transferred exclusively and may appear on other series in this catalog, so other buyers may publish different series under the same name. As far as the seller is able to grant it, the buyer may use the placeholder name; the seller gives no assurance that the name is free of rights of third parties.
How the books were made
The texts were generated with AI language models from our own series plans. Under Amazon KDP's definitions this is AI-generated content. Some cover artwork was also created with AI image tools. Buyers are responsible for any disclosure a publishing platform requires; on Amazon KDP, the AI-generated content questions for text and images must be answered with yes.
Prices, taxes and invoices
Prices are net prices. Value added tax is charged where German law requires it. For buyers in other EU member states, the reverse charge procedure applies if the buyer provides a valid VAT identification number.
Condition of the texts
The seller confirms that the texts were produced for the seller and that, to the seller's knowledge, they do not reproduce works of third parties. The files are delivered as described on the series page. As AI-generated texts, they may contain errors of style, continuity or fact that are typical of AI-generated text; this is part of the agreed condition of the texts and not a defect. Obvious defects in the files must be reported within 14 days of delivery. The seller will first deliver corrected files. If correction fails, the buyer may withdraw from the contract or reduce the price. Claims for defects become time-barred one year after delivery; this does not apply to claims under the liability section below.
Liability
The seller is liable without limitation for intent and gross negligence, for injury to life, body or health, under a guarantee it has given, for defects it has fraudulently concealed, and under the German Product Liability Act. For slight negligence the seller is liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the buyer may regularly rely (here in particular: delivery of the described files and the grant of rights); in that case liability is limited to the damage typically foreseeable when the contract was concluded. Otherwise liability for slight negligence is excluded.
No guarantee of sales
The series have never been published. We make no promise about future sales, rankings, reviews or acceptance by any retailer or platform.
Images and samples
Cover images on this website show the covers included in each package. Some cover artwork was created with AI image tools. Sample chapters and images may not be copied, passed on or reused without our permission.
Law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for all disputes is the seat of the seller, as far as legally permitted.
